Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the SiteAssist.ai platform, including the Snag Assist AI application and any related websites, tools, APIs and services (collectively, the "Software"). By creating an account, accessing or using the Software, you agree to be bound by these Terms. If you do not agree, do not use the Software.

1. Licence to use the Software

Subject to your continued compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Software solely for your internal business purposes. All other rights are reserved.

2. Intellectual property

The Software, including all source code, object code, user interfaces, designs, models, prompts, workflows, documentation, branding and underlying technology, is and remains the exclusive property of SiteAssist.ai and its licensors. All intellectual property rights in and to the Software are owned by SiteAssist.ai. No title or ownership of any part of the Software is transferred to you under these Terms.

3. Restrictions

You must not, and must not permit any third party to:

  • Copy or reproduce the Software, in whole or in part, in any form or by any means;
  • Reverse engineer, decompile, disassemble, decrypt or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, prompts or organisation of the Software;
  • Modify, translate, adapt or create derivative works based on the Software;
  • Use the Software to design, build, train, benchmark or otherwise develop a competing product or service, or to assist any third party in doing so;
  • Rent, lease, lend, sell, sublicense, assign, distribute, publish or otherwise transfer the Software or access to it;
  • Remove, obscure or alter any proprietary notices, trademarks or attributions on or in the Software, including on any exported reports or outputs; or
  • Use the Software in any way that breaches applicable law, infringes any third-party rights, or interferes with the security or integrity of the Software.

4. Confidentiality

You acknowledge that the Software, including its features, performance, prompts, workflows, screens, pricing, roadmap and any non-public information disclosed to you in connection with it, constitutes the confidential and proprietary information of SiteAssist.ai ("Confidential Information"). You agree to:

  • Keep all Confidential Information strictly confidential and protect it with at least the same degree of care you use to protect your own confidential information of similar importance (and in no event less than a reasonable standard of care);
  • Use Confidential Information solely for the purpose of using the Software as permitted under these Terms; and
  • Not disclose Confidential Information to any third party except to your employees or contractors who need to know it for the permitted purpose and who are bound by confidentiality obligations no less protective than those in these Terms.

These confidentiality obligations survive termination of your account and continue for as long as the information remains confidential.

5. Free trial and evaluation access

Any free trial, evaluation, beta, preview or promotional access to the Software is provided "as is" and may be modified, suspended or terminated by SiteAssist.ai at any time without notice. Trial access does not grant you any ownership rights, licences beyond those expressly stated in these Terms, or any right to continued access after the trial period ends. All restrictions and confidentiality obligations in these Terms apply in full during any trial.

6. Your data

You retain ownership of the project, snag, photo and report data you upload ("Customer Data"). You grant SiteAssist.ai a worldwide, non-exclusive licence to host, process, transmit and display Customer Data solely as needed to provide the Software to you. You are responsible for ensuring you have the right to upload Customer Data and that it does not infringe any third-party rights.

7. Accounts and acceptable use

You are responsible for activity under your account, for keeping your credentials secure, and for ensuring everyone you invite to your company workspace complies with these Terms. We may suspend or terminate accounts that breach these Terms.

8. Fees and subscriptions

Paid plans are billed in advance on the cadence shown at checkout. Fees are non-refundable except where required by law. We may change pricing on renewal with reasonable notice.

9. Disclaimer

The Software is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, SiteAssist.ai disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. AI-generated outputs (including snag descriptions, guidance and annotations) are aids only and do not replace professional judgement, site inspections, or compliance with applicable building regulations and standards.

10. Limitation of liability

To the fullest extent permitted by law, SiteAssist.ai will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of the Software. Our total aggregate liability for any claim under these Terms is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim.

11. Termination

You may stop using the Software at any time. We may suspend or terminate your access if you breach these Terms. On termination, your licence ends and you must stop using the Software; sections that by their nature should survive (including IP, confidentiality, restrictions, disclaimer and liability) will survive.

12. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

13. Changes

We may update these Terms from time to time. Material changes will be notified by email or in-app. Continued use of the Software after changes take effect constitutes acceptance of the updated Terms.
